These Terms of Service ("Terms") govern your access to and use of Providame's authentication and identity platform, including our dashboard, APIs, SDKs, and related services (collectively, the "Service"), operated by Avanest ("Providame," "we," "us," or "our"). By creating an account, creating a workspace, or otherwise using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization, and "you" refers to that organization.
1. Acceptance of terms
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create a Providame account. If you do not agree to these Terms, you may not access or use the Service.
2. Description of the service
Providame is a multi-tenant authentication and identity management platform for developers. It allows you to create a workspace, add applications, and automatically provisions isolated development, staging, and production environments for each application — each with its own end-user pool, OIDC client, and API key pair. Providame acts as a control plane in front of an underlying identity engine; the underlying infrastructure is never exposed directly to you or your end-users.
3. Accounts, workspaces & apps
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. A workspace may have multiple team members with different roles (Owner, Admin, Developer, Viewer), each with different permissions within that workspace. You are responsible for managing who you invite to your workspace and what role they are granted.
You are solely responsible for the applications, environments, and configuration you create within your workspace, including any custom claims, webhooks, branding, or third-party identity provider credentials you configure.
4. Your end-users
If you use Providame to authenticate your own end-users, you are responsible for:
- Obtaining any consents required to collect and process your end-users' personal data through the Service;
- Providing your end-users with your own privacy policy and terms governing your application;
- Ensuring your use of the Service, including any custom claims or metadata you configure, complies with applicable law;
- Promptly removing or exporting end-user data as required by your own legal obligations.
As between you and Providame, you are the data controller for your end-users' personal data, and Providame acts as a data processor / service provider processing that data solely on your behalf and instructions. See our Privacy Policy for more detail on how end-user data is handled.
5. Acceptable use
You agree not to use the Service to:
- Violate any applicable law or regulation;
- Infringe the intellectual property or privacy rights of any third party;
- Transmit malware, or attempt to gain unauthorized access to any system or data;
- Circumvent or attempt to circumvent any rate limiting, quota, or tenant-isolation mechanism;
- Resell or provide the Service to third parties as a standalone, unbranded product without our written consent;
- Use the Service to build a product that directly competes with Providame using data or access obtained through the Service.
We may suspend or terminate accounts that violate this section, with or without notice, depending on severity.
6. API keys & security
You are responsible for safeguarding your publishable and secret API keys. Secret keys must never be exposed in client-side code or public repositories. You must notify us promptly if you believe a key has been compromised so we can assist with rotation. We are not liable for any loss or damage arising from your failure to secure your credentials.
7. Fees & billing
Certain features of the Service are offered on a paid subscription basis, billed through our payment processor. Fees are based on your selected plan and, where applicable, monthly active end-user usage in your production environments, as described on our pricing page. Fees are non-refundable except as required by law or as expressly stated in these Terms. We may change our pricing with reasonable advance notice; continued use of the Service after a pricing change takes effect constitutes acceptance of the new pricing.
8. Third-party services
The Service relies on and integrates with third-party providers to deliver certain functionality, including but not limited to: our underlying identity engine, email and SMS delivery providers, a payment processor, bot-detection services, and a breach-password checking service. Your use of features backed by these providers is also subject to their respective terms, to the extent applicable. We select and vet these providers carefully, but are not responsible for outages or failures originating solely from a third-party provider's own infrastructure.
9. Intellectual property
Providame and its licensors retain all right, title, and interest in and to the Service, including all software, SDKs, documentation, and branding. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service and our SDKs for the purpose of building and operating your own applications. You retain all rights to your own application code, content, and end-user data.
10. Confidentiality
Each party agrees to protect the other party's confidential information with the same degree of care it uses for its own confidential information of similar nature, and not less than reasonable care, and to use such information solely to perform its obligations under these Terms.
11. Disclaimers & warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROVIDAME SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
13. Indemnification
You agree to indemnify and hold Providame harmless from any claims, damages, or expenses arising from your use of the Service, your applications, your violation of these Terms, or your violation of any rights of a third party, including your end-users.
14. Term & termination
These Terms remain in effect for as long as you use the Service. You may stop using the Service and delete your workspace at any time. We may suspend or terminate your access to the Service if you materially breach these Terms and fail to cure the breach within a reasonable period after notice, or immediately in cases of severe abuse, security risk, or non-payment.
15. Data export on termination
Upon termination, we provide a reasonable window to export your end-user data before it is permanently deleted, consistent with our deferred-deletion and retention practices described in our Privacy Policy. We are not obligated to retain your data indefinitely after account closure.
16. Changes to these terms
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice, such as by email or an in-product notice, before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
17. Governing law
These Terms are governed by the laws of the jurisdiction in which Avanest is incorporated, without regard to conflict-of-law principles, unless a different governing law is required by applicable mandatory consumer-protection law.
